Corporate Governance at Qualidigm

Qualidigm is governed by a Board of Directors that represents appropriate constituencies within the state to advance the organization's efforts to improve the quality and safety of health care.  The Directors include representatives from health care settings and organizations, as well as business,  consumers and other relevant stakeholders.  Directors are not compensated for routine board service; in exceptional circumstances they may be paid to perform duties beyond those routinely required of Directors.

The number of Directors ranges from eleven to twenty, depending on the needs of the organization as determined by the Board.  New members are elected for three-year terms at the annual meeting of members of the organization each year.  Directors may serve no more than two consecutive three-year terms, but are eligible to serve for one additional three-year term after incurring a one-year break in service.  To ensure continuity, Directors are divided into three groups to that the terms of only one group expire each year.
